L\u2019interm\u00e9diaire reste limit\u00e9 dans sa capacit\u00e9 \u00e0 formuler des offres, car il doit soit consulter l\u2019acheteur, soit formuler une offre qui ne peut pas \u00eatre d\u00e9finitive. Une acceptation du propri\u00e9taire n\u2019aurait donc pas vocation \u00e0 sceller la vente.<\/p>\n<p style=\"text-align: justify;\">L\u2019offre, m\u00eame formul\u00e9e par l\u2019acheteur, mais assortie de r\u00e9serves, subit le m\u00eame sort que l\u2019offre formul\u00e9e par un interm\u00e9diaire. Une r\u00e9serve est une condition ou une h\u00e9sitation que le proposant exprime dans son offre. Elle ne d\u00e9pend pas d\u2019\u00e9l\u00e9ments objectifs. Prenons l&#8217;exemple d&#8217;un acheteur qui propose d\u2019acheter un bien immobilier si son budget vacances demeure en dessous d\u2019un certain montant. Cette offre ne permet pas de conclure un contrat de vente d\u00e8s l\u2019acceptation du propri\u00e9taire.<\/p>\n<p style=\"text-align: justify;\">Ainsi, c\u2019est une offre ferme, pr\u00e9cise, non-\u00e9quivoque et expresse, sans r\u00e9serves et formul\u00e9e par l\u2019acheteur potentiel qui garantit\u00a0que l\u2019acceptation du propri\u00e9taire permette v\u00e9ritablement de former le contrat. Il s\u2019ensuit que le bien est vis\u00e9 pr\u00e9cis\u00e9ment. Elle doit donc \u00eatre pr\u00e9cise, ferme et non-\u00e9quivoque. L\u2019acceptation ne doit pas demander d\u2019\u00e9l\u00e9ments compl\u00e9mentaires (comme une demande de bornage) ou contenir de r\u00e9serves.<\/p>\n<p style=\"text-align: justify;\">Si ces conditions sont remplies, le contrat de vente peut \u00eatre consid\u00e9r\u00e9 comme form\u00e9, sans qu\u2019une exigence de forme n\u2019ait \u00e0 \u00eatre remplie. Le contrat peut \u00eatre r\u00e9dig\u00e9, mais la Cour de cassation a admis qu\u2019une offre d\u2019achat sign\u00e9 par le vendeur avec la mention \u00ab\u00a0Bon pour accord\u00a0\u00bb suffisait \u00e0 \u00e9tablir l\u2019existence d\u2019un contrat de vente.<\/p>\n<p style=\"text-align: justify;\">Toujours selon le Code civil, la vente est effectivement form\u00e9e entre les parties. Il faudra toutefois passer par un acte authentique notari\u00e9 pour que la cession soit opposable aux tiers. Cette derni\u00e8re formalit\u00e9 n\u2019emp\u00eache pas l\u2019ex\u00e9cution forc\u00e9e en cas d\u2019inex\u00e9cution du contrat.<\/p>\n<h2 style=\"text-align: justify;\"><span id=\"La_fin_de_loffre_dachat\">La fin de l\u2019offre d\u2019achat<\/span><\/h2>\n<p class=\"row baseline--default\" style=\"text-align: justify;\">LegaLife vous propose de fixer une date butoir au-del\u00e0 de laquelle le vendeur ne pourra plus accepter l\u2019offre. Cela vous permet d\u2019\u00e9viter les nombreux contentieux sur le \u00ab\u00a0d\u00e9lai raisonnable de maintien de l\u2019offre\u00a0\u00bb. Il pose en effet probl\u00e8me quand la fin de l\u2019offre est incertaine.<\/p>\n<p style=\"text-align: justify;\">L\u2019offreur devra imp\u00e9rativement maintenir son offre pendant la dur\u00e9e fix\u00e9e dans l\u2019offre d\u2019achat.<\/p>\n<h2 style=\"text-align: justify;\"><span id=\"Le_delai_de_retractation_de_lacheteur_non-professionnel\">Le d\u00e9lai de r\u00e9tractation de l\u2019acheteur non-professionnel<\/span><\/h2>\n<p class=\"row baseline--default\" style=\"text-align: justify;\">L\u2019acheteur non-professionnel dispose d\u2019un <strong>d\u00e9lai de r\u00e9tractation de 10\u00a0jours \u00e0 compter de la r\u00e9ception de la promesse de vente<\/strong> (ou du contrat de vente s\u2019il n\u2019y a pas eu de promesse de vente). Ce d\u00e9lai commence le lendemain de la r\u00e9ception de la lettre recommand\u00e9e avec accus\u00e9 de r\u00e9ception, ou le lendemain de la remise en mains propres.<\/p>\n<p style=\"text-align: justify;\">Sauf indemnit\u00e9 d\u2019immobilisation qui pourrait \u00eatre r\u00e9cup\u00e9r\u00e9e en cas de r\u00e9tractation, aucune somme ne saurait \u00eatre vers\u00e9e par l\u2019acheteur avant l\u2019expiration de ce d\u00e9lai de 10 jours, m\u00eame pour des arrhes.
