Sous certaines conditions, les salari\u00e9s vont simplement changer d\u2019employeur, sans pour autant signer un nouveau contrat de travail.<\/p>\n<div id=\"toc_container\" class=\"no_bullets\"><p class=\"toc_title\">Table des mati&egrave;res<\/p><ul class=\"toc_list\"><li><a href=\"#Les_conditions_du_transfert_du_contrat_de_travail\"><span class=\"toc_number toc_depth_1\">1<\/span> Les conditions du transfert du contrat de travail<\/a><\/li><li><a href=\"#Les_effets_du_transfert_du_contrat_de_travail\"><span class=\"toc_number toc_depth_1\">2<\/span> Les effets du transfert du contrat de travail<\/a><\/li><li><a href=\"#Les_licenciements_lors_du_transfert_du_contrat_de_travail\"><span class=\"toc_number toc_depth_1\">3<\/span> Les licenciements lors du transfert du contrat de travail<\/a><\/li><\/ul><\/div>\n<h2><span id=\"Les_conditions_du_transfert_du_contrat_de_travail\">Les conditions du transfert du contrat de travail<\/span><\/h2>\n<p class=\"row baseline--default\" style=\"text-align: justify;\">Les termes de l\u2019<a href=\"https:\/\/www.legifrance.gouv.fr\/affichCodeArticle.do?idArticle=LEGIARTI000006900875&amp;cidTexte=LEGITEXT000006072050\" target=\"_blank\">article L.1224-1 du Code du travail<\/a> ne sont pas tr\u00e8s pr\u00e9cis : il est n\u00e9cessaire qu\u2019une entit\u00e9 \u00e9conomique autonome soit transf\u00e9r\u00e9e et que son activit\u00e9 soit poursuivie par le repreneur.<\/p>\n<p style=\"text-align: justify;\">Dans la plupart des cas, cela signifie que lorsqu\u2019une entreprise est fusionn\u00e9e, ou rachet\u00e9e, les salari\u00e9s attach\u00e9s \u00e0 la poursuite d\u2019une activit\u00e9 \u00e9conomique que le repreneur choisit de continuer vont pouvoir prolonger l\u2019ex\u00e9cution de leur contrat de travail au sein de l\u2019entreprise du repreneur. Par exemple, en cas d\u2019absorption d\u2019une usine de fabrication automobile par une autre, les salari\u00e9s attach\u00e9s \u00e0 la fabrication automobile vont s\u00fbrement conserver leur contrat de travail au sein de l\u2019entreprise repreneuse.<\/p>\n<p style=\"text-align: justify;\">L\u2019entreprise c\u00e9d\u00e9e devait pr\u00e9c\u00e9demment \u00eatre autonome. Par exemple, elle devait b\u00e9n\u00e9ficier d\u2019un personnel propre et de moyens pour poursuivre une activit\u00e9 \u00e9conomique. Ce sont ces moyens, et ce personnel propre, qui devront \u00eatre repris pour assurer la poursuite de l\u2019activit\u00e9. Un changement d\u2019activit\u00e9 emp\u00eache donc la poursuite des contrats de travail.<\/p>\n<p style=\"text-align: justify;\">Les cas reconnus concernent notamment\u00a0la succession d\u2019employeurs (en cas de d\u00e9c\u00e8s du titulaire et de transmission \u00e0 ses h\u00e9ritiers), de cession totale ou partielle d\u2019entreprise, de fusion d\u2019entreprise, d\u2019une filialisation d\u2019une partie de l\u2019entreprise, et non pas d\u2019une simple prise de participation par un actionnaire.<\/p>\n<h2><span id=\"Les_effets_du_transfert_du_contrat_de_travail\">Les effets du transfert du contrat de travail<\/span><\/h2>\n<p class=\"row baseline--default\" style=\"text-align: justify;\">Le transfert s\u2019effectue pour l\u2019ensemble des salari\u00e9s attach\u00e9s \u00e0 l\u2019activit\u00e9 transf\u00e9r\u00e9e. Quel que soit le type de contrat qui les lie \u00e0 la soci\u00e9t\u00e9 (CDD, CDI, \u00e0 temps plein ou \u00e0 mi-temps).<\/p>\n<p style=\"text-align: justify;\">Le transfert est automatique\u00a0: aucune clause, que ce soit dans une convention collective ou dans un contrat de travail, ne peut subordonner le transfert \u00e0 l\u2019accord du salari\u00e9 ou de l\u2019employeur. Il existe une exception\u00a0: si le transfert entra\u00eene une autre modification du contrat de travail que le changement d\u2019employeur, comme une baisse de r\u00e9mun\u00e9ration ou un changement de lieu de travail, le salari\u00e9 peut s\u2019opposer au transfert. L\u2019employeur peut n\u00e9gocier avec le salari\u00e9, ou ce dernier peut donc soit demander une r\u00e9siliation judiciaire du contrat.<\/p>\n<p style=\"text-align: justify;\">Il incombe au nouvel employeur ou aux repr\u00e9sentants du personnel, non pas d\u2019effectuer le transfert, mais d\u2019<a href=\"https:\/\/www.legalife.fr\/document\/transfert-du-contrat-de-travail\">informer les salari\u00e9s du transfert de leur contrat de travail<\/a>. Il incombe aussi au nouvel employeur d\u2019assurer l\u2019ex\u00e9cution du contrat de travail dans les conditions identiques.<\/p>\n<h2><span id=\"Les_licenciements_lors_du_transfert_du_contrat_de_travail\">Les licenciements lors du transfert du contrat de travail<\/span><\/h2>\n<p class=\"row baseline--default\" style=\"text-align: justify;\">Si les difficult\u00e9s \u00e9conomiques qui ont donn\u00e9 lieu au transfert d\u2019entreprise ont aussi entra\u00eene des licenciements pour motif \u00e9conomique. Alors ces licenciements sont annul\u00e9s avec le transfert. Les salari\u00e9s peuvent en effet r\u00e9int\u00e9grer la soci\u00e9t\u00e9 reprise. Ils sont en droit de demander au repreneur la poursuite de leur contrat de travail. (du fait de la nullit\u00e9 du licenciement). Mais aussi une indemnisation du pr\u00e9judice subi aupr\u00e8s de l\u2019employeur qui les a licenci\u00e9s. (car ils n\u2019ont peut-\u00eatre pas per\u00e7u de r\u00e9mun\u00e9ration pendant quelques semaines).<\/p>\n<p style=\"text-align: justify;\">En revanche, le repreneur peut toujours prononcer un licenciement par la suite. Que ce soit pour motif personnel ou pour motif \u00e9conomique (r\u00e9organisation de l\u2019entreprise).
