Cependant, il peut \u00eatre mis fin \u00e0 son mandat de fa\u00e7on anticip\u00e9e sur d\u00e9cision de la majorit\u00e9 des associ\u00e9s ou de <a title=\"G\u00e9n\u00e9ralit\u00e9s sur l'assembl\u00e9e g\u00e9n\u00e9rale\" href=\" https:\/\/www.legalife.fr\/guides-juridiques\/generalites-sur-lassemblee-generale\"> l&#8217;assembl\u00e9e g\u00e9n\u00e9rale<\/a>. Certains dirigeants sont r\u00e9vocables sans motif, mais d\u2019autres doivent \u00eatre r\u00e9voqu\u00e9s sur le fondement d\u2019un juste motif. Dans ces conditions, le dirigeant n\u2019a droit \u00e0 aucune indemnit\u00e9 de d\u00e9part.Toutefois, la loi oblige la soci\u00e9t\u00e9, voire les associ\u00e9s personnellement, \u00e0 verser des dommages et int\u00e9r\u00eats au dirigeant r\u00e9voqu\u00e9 en cas d\u2019abus dans la proc\u00e9dure de r\u00e9vocation. M\u00eame en cas d\u2019abus, le dirigeant ne sera pas r\u00e9int\u00e9gr\u00e9 dans l\u2019entreprise.<\/p>\n<p>Cet article d\u00e9veloppe les deux cas possibles d\u2019abus pour faire en sorte que les soci\u00e9t\u00e9s puissent \u00e9viter les \u00e9cueils de la r\u00e9vocation abusive.<\/p>\n<h2 style=\"text-align: justify;\">I. La r\u00e9vocation portant atteinte \u00e0 la r\u00e9putation ou \u00e0 l\u2019honneur<\/h2>\n<p>La r\u00e9vocation d\u2019un dirigeant dans des conditions vexatoires ou injurieuses ouvre droit \u00e0 r\u00e9paration pour le dirigeant dont la r\u00e9putation ou l\u2019honneur ont \u00e9t\u00e9 atteints. Quel que soit le motif, <strong>l\u2019abus s\u2019analyse dans les circonstances de la r\u00e9vocation<\/strong>. Ainsi :<\/p>\n<ul>\n<li>Demander au dirigeant de remettre les cl\u00e9s de l\u2019entreprise d\u00e8s la fin de l\u2019assembl\u00e9e pendant laquelle il a \u00e9t\u00e9 r\u00e9voqu\u00e9 est humiliant et constitue un abus ;<\/li>\n<li>Faire courir la rumeur de la r\u00e9vocation du dirigeant et faire intervenir la police le jour o\u00f9 la r\u00e9vocation est pr\u00e9vue qualifie l\u2019abus dans la r\u00e9vocation ;<\/li>\n<li>Le fait de d\u00e9nigrer le dirigeant bient\u00f4t r\u00e9voqu\u00e9 aupr\u00e8s de l\u2019ensemble des salari\u00e9s est une circonstance vexatoire de la r\u00e9vocation ;<\/li>\n<li>Le fait d\u2019affecter le bureau du dirigeant non encore r\u00e9voqu\u00e9 \u00e0 son successeur pressenti, et que ce dernier ait invit\u00e9 le dirigeant encore en poste \u00e0 quitter la soci\u00e9t\u00e9 est une r\u00e9vocation abusive ;<\/li>\n<li>Le fait pour un dirigeant non encore r\u00e9voqu\u00e9 de retrouver ses effets personnels \u00e0 l\u2019ext\u00e9rieur du si\u00e8ge de la soci\u00e9t\u00e9 le jour de l\u2019assembl\u00e9e de r\u00e9vocation a \u00e9t\u00e9 consid\u00e9r\u00e9 comme portant atteinte \u00e0 l\u2019honneur du dirigeant.<\/li>\n<\/ul>\n<p>En revanche,<strong> les cas suivants n\u2019ont pas \u00e9t\u00e9 qualifi\u00e9s d\u2019abusifs :<\/strong><\/p>\n<ul>\n<li>En l\u2019absence de publicit\u00e9 externe ou de dispute, l\u2019\u00e9change de propos simplement d\u00e9sagr\u00e9ables pendant l\u2019assembl\u00e9e ne porte pas atteinte \u00e0 l\u2019honneur du dirigeant ;<\/li>\n<li>Le fait que le milieu professionnel ait rapidement eu connaissance du d\u00e9part du dirigeant, ou le fait qu\u2019une soci\u00e9t\u00e9 connue ait d\u00fb communiquer sur la r\u00e9vocation de son dirigeant, lui-m\u00eame tr\u00e8s connu, ne suffisent pas pour \u00e9tablir la r\u00e9vocation abusive.<\/li>\n<\/ul>\n<h2 style=\"text-align: justify;\">II. La r\u00e9vocation sans observation du droit au contradictoire<\/h2>\n<p>M\u00eame s\u2019il y a peu de chance de faire changer l\u2019avis d\u2019une assembl\u00e9e qui a l\u2019intention de le r\u00e9voquer, le dirigeant doit pouvoir avoir l\u2019<strong>opportunit\u00e9 de pr\u00e9senter ses observations<\/strong> sur les raisons qui poussent l\u2019assembl\u00e9e \u00e0 le r\u00e9voquer.<\/p>\n<p>Cette exigence permet de <strong>respecter le principe du contradictoire<\/strong>, et de ne pas proc\u00e9der \u00e0 une r\u00e9vocation brutale. Ainsi :<\/p>\n<ul>\n<li>Le fait de r\u00e9voquer un dirigeant avant qu\u2019il ait pu prendre connaissance des motifs qui lui \u00e9taient reproch\u00e9s, aussi graves soient-ils, est une r\u00e9vocation brutale, ouvrant droit \u00e0 r\u00e9paration pour le dirigeant, et ce m\u00eame si le dirigeant \u00e9tait r\u00e9vocable sans motif.<\/li>\n<li>Le fait de ne pas informer un dirigeant que sa r\u00e9vocation est \u00e0 l\u2019ordre du jour n\u2019a pas pu lui permettre de disposer d\u2019un d\u00e9lai pour pr\u00e9parer sa d\u00e9fense. La r\u00e9vocation a donc \u00e9t\u00e9 jug\u00e9e abusive ;<\/li>\n<li>Le fait pour un ordre de jour de ne mentionner que la discussion de certains griefs \u00e0 l\u2019encontre du dirigeant, sans pr\u00e9ciser que sa r\u00e9vocation \u00e9tait \u00e9galement \u00e0 l\u2019ordre du jour l\u2019a emp\u00each\u00e9 de pouvoir pr\u00e9parer sa d\u00e9fense.<\/li>\n<\/ul>\n<p><strong> En revanche, ont \u00e9t\u00e9 consid\u00e9r\u00e9es comme fond\u00e9es :<\/strong><\/p>\n<ul>\n<li>La r\u00e9vocation d\u2019un dirigeant qui s\u2019est retir\u00e9 de l\u2019assembl\u00e9e g\u00e9n\u00e9rale \u00e0 l\u2019ordre du jour de laquelle figurait sa r\u00e9vocation, et \u00e0 laquelle il avait \u00e9t\u00e9 valablement convi\u00e9 ;<\/li>\n<li>La r\u00e9vocation d\u2019un dirigeant en arr\u00eat maladie pour qui la soci\u00e9t\u00e9 avait tout mis en \u0153uvre pour lui permettre de s\u2019exprimer sur sa r\u00e9vocation ;<\/li>\n<li>La r\u00e9vocation d\u2019un dirigeant suite \u00e0 un incident de s\u00e9ance, alors m\u00eame que sa r\u00e9vocation ne figurait pas \u00e0 l\u2019ordre du jour ;<\/li>\n<li>La r\u00e9vocation d\u2019un dirigeant pour un <a title=\"Qu'est-ce que le juste motif ?\" href=\" https:\/\/www.legalife.fr\/blog\/la-revocation-dun-dirigeant-quest-ce-que-le-juste-motif\/\"> juste motif<\/a> sans intention de nuire au dirigeant, m\u00eame si la d\u00e9cision n\u2019a pas enti\u00e8rement respect\u00e9 les conditions de forme.<\/li>\n<\/ul>\n<p><span style=\"text-decoration: underline;\">Pr\u00e9cision importante<\/span> : quelle que soit la forme que prend l\u2019abus : il ne saurait \u00eatre \u00e9vit\u00e9 du seul fait que le dirigeant r\u00e9voqu\u00e9 ait sign\u00e9 le proc\u00e8s-verbal d\u2019assembl\u00e9e.
